AGREEMENT FOR SERVICES
This Agreement is between

Designs, hereinafter referred to as "we," "us," and
"our," The
parties hereto agree as follows:
You hereby request services from us which will generally include but may not be limited to the design, creation, and programming of computer screen display pages more commonly known as "Websites" for advertising on the Internet (World Wide Web). In consideration for such services, you agree to compensate us in accordance with the terms of this Agreement.
The terms of this Agreement shall be from the date of your signing thereof until such "Websites" have been designed, created and programmed and has been approved by you.
You understand that the nature of services to be performed herein involves a high degree of subjectivity. You further understand and agree that, due to the reasonable rates for services which shall be performed by us, we shall have total and unilateral say over amounts to be charged for services you request of us, provided that we notify you and you give prior approval therefore in each case, and provided that our failure to obtain your prior approval in any instance shall not relieve you of your obligation to pay for all services wherein your advance approval was obtained. We agree to perform quality work in providing these services to you. If you are dissatisfied with the quality of our work, and several attempts have been made to improve your
Website without reaching your satisfaction, then your sole recourse therefore is to terminate this Agreement as provided herein.
We advertise general rates for our services. These rates include the designing, creating and programming of your "Websites", with subjective limitations as to graphics, file sizes, and HTML programming complexity. We reserved the right to change any rates, prices, or charges at any time. We will notify you of such changes and obtain your prior approval for specific charges for specific services that you request and you agree to pay such costs or charges as agreed. If you do not agree in advance to quoted or revised prices or charges, we will be under no obligation to provide such services. We may withhold any services if you fail to pay, even if you agree to the amounts therefore.
We agree to provide our best efforts in performing the services that you request. We make no other warranty, express or implied, except as may be specifically required by law. You agree that our sole liability shall be for correction of misinformation or errors we make and that in no case shall we be liable for any consequential or monetary damages, including loss of business or any other pecuniary loss.
You agree that you will not provide any materials or information to us for use in your advertising for which you do not hold the copyright, trademark, or legal rights, and you agree to hold us harmless for any violations thereof which result from materials or information provided by you.
You agree and understand that we are only providing services to you as an independent contractor. Neither you nor we are otherwise affiliated nor is either party entitled to any employment rights or benefits whatsoever from the other.
You understand that we may provide services to other parties who may advertise the same or similar products, services, ideas, or other matters. Any information or material we receive from you is for advertisement to the general public and you agree not to give us materials or information which you consider confidential, proprietary, or private in nature, and hereby release us from any obligation to protect or keep confidential or private any information you provide to us.
After your approvals of your "Website", changes and/or additions are allowed and welcomed but will cost extra according to the nature and complexity of the change. Minor changes (i.e.: new e-mail address) are free.
